We reserve the right to charge a handling fee on bulky items, on orders despatched to some offshore islands and on special delivery requests. Unless otherwise stated, prices shown are for single items INCLUSIVE OF VAT at the prevailing rate. We operate a back- order system unless instructed otherwise. New and replacement products will be added during the currency of this guide, so please contact us if you are looking for a particular item not listed. We are always ready to help in giving product information and trade advice. No responsibility can be accepted by Artstat for errors or omissions in this catalogue. 2. DAMAGE OR LOSS OF GOODS Our liability is limited to the replacement or repair cost of the goods at our discretion. Damaged goods or shortages must be notified within two days of delivery. Photographic evidence should be provided for damaged goods with a value of more than £5. 3. SUITABILITY It is the user’s responsibility to ensure that the goods purchased are suitable for his or her requirements. 4. TERMS AND CONDITIONS OF TRADE Purchase of goods from ARTSTAT is an unqualified acceptance of all our terms and conditions. Prices are subject to change without notice, the current retail price being shown on each delivery note. Every effort has been made to ensure the accuracy of the information in this list. However, this information constitutes an invitation to trade and does not form any part of any contract. We reserve the right to withhold supplies at our discretion. These terms and conditions and all contracts shall be governed by English Law and subject to English Courts. 5. RISK AND TITLE TO PROPERTY 5.1 Goods supplied to the Buyer will remain the property of ARTSTAT until full payment in cash or cleared funds has been received by ARTSTAT for those goods and for all other goods delivered or services supplied by ARTSTAT to the Buyer in respect of which payment is outstanding. 5.2 Until title to the goods passes to the Buyer: 5.2:1 The Buyer will hold those goods as Seller’s bailee. 5.2:2 The Buyer will protect, store and identify the goods by reasonable means so that they can be recognised as the property of the Seller. 5.2:3 The Buyer may use the goods or sell them in the ordinary course of its business. 5.2:4 If the Buyer is in breach of any of its obligations to the Seller, or the order or the contract for the supply of goods is cancelled under Clause 6 below, and provided the goods are still in existence and have not been resold, the Seller may (a) by notice to the Buyer require delivery to it of the goods: and/or (b) with or without previous notice, retake possession of the goods and sell the goods. For the purpose of this clause the Buyer irrevocably authorises the Seller’s representatives to enter the premises on which the goods are situated and remove the goods at the Buyer’s expense. 5.3 Risk in all goods supplied to the Buyer will pass to the Buyer on delivery. 6. TERMINATION Should the Buyer enter into liquidation or a Receiver, Administrator or Administrative Receiver of the Buyer’s property or assets or any part of them is appointed, or a court order is made or a resolution is passed for the winding up of the Buyer (except for the purpose of amalgamation or reconstruction) or if the Buyer commits any act of bankruptcy, or any bankruptcy petition is presented against the Buyer (or any analogous proceedings under the law of any country outside the United Kingdom are commenced), the Seller may by notice in writing to the Buyer cancel all orders or any part of them remaining unfulfilled. 7. JURISDICTION Except as provided below, all contracts between the Seller and the Buyer shall be governed and construed in accordance with the Laws of England, and the Buyer agrees to submit to the jurisdiction of the Courts of Law in England in respect of them. All contracts between the Seller and the Buyer where the goods are shipped to or services are provided in the Republic of Ireland, shall be governed and construed in accordance to the Laws of the Republic of Ireland, and the Buyer agrees to submit to the jurisdiction of the Courts of Law in the Republic of Ireland in respect of them. 8. RETURN OF GOODS Items correctly supplied which are returned with the approval of our sales office will be subject to a 25% handling charge. The goods must be in re-saleable condition, within three days of invoice date and the invoice/delivery note number and date must be quoted on all claims and returned goods. 9. PAYMENT TERMS & CREDIT FACILITIES We offer credit terms at our discretion upon receipt of two satisfactory trade references and a bank reference. Please ask for a credit application form. Payment is due by the end of the month following month of delivery. We reserve the right to add interest to overdue balances at the rate of 2% per month calculated daily. Processing of orders may be delayed without notice if accounts become overdue. An administration fee of £10 is charged to re-present an uncleared cheque. 10. COPYRIGHT © Artstat 2016.
